TOKYO, Nov 6 (Reuters) - Japanese chip materials maker JSR Corp (4185.T) on Monday slashed its operating profit forecast for the current financial year by 62%, citing a weak recovery in demand for semiconductors and a slowdown in the biotech market. Investors are debating the recovery path for the chip industry which has been hit by a slowdown in demand for electronics such as smartphones and PCs. "We had projected an upturn in the second half of the year and as we've highlighted here we're no longer expecting that upturn," JSR CEO Eric Johnson told a news conference. Operating profit was 3.4 billion yen in the second quarter, following a loss of 6.1 billion yen three months earlier. A leading maker of photoresists used in chip making, JSR said sales for cutting edge extreme ultraviolet (EUV) lithography grew 15% year-on-year in the April-September period.

Fujitsu has put its 50% stake in Shinko Electric, worth around $2.6 billion at current market prices, on sale, other sources said. A Mitsubishi spokesperson said the trading house had set up a division in June dealing with chips and materials that was looking into various opportunities. A Shinko spokesperson declined to comment. Still, semiconductor packaging remains an area of strength for Japan with Shinko, Ibiden (4062.T) and Toppan Holdings (7911.T) all major players in the global chip supply chain.

"When we're 50% foreign owned that gives people pause within Japan," Johnson said in an interview. Companies often view the presence of an activist investor as a challenge to their strategy or a factor that could delay execution of their plans. The activist investor previously praised JSR's "fact-based decision making" and said it supports the sale to JIC. "But that doesn't contribute to the Japanese semiconductor materials industry overall," he said. "I don't think they're being imaginative enough ... there's a wide range of materials expertise in Japan," Johnson said.

TOKYO, June 27 (Reuters) - State-backed Japan Investment Corp (JIC) sees potential for more mergers and acquisitions in high-end corners of the chipmaking industry following its planned $6.4 billion buyout of materials maker JSR (4185.T), the head of its private equity arm said. "We see potential in some speciality materials markets where JSR can win dominant positions by combining with other materials makers," Ikeuchi said in an interview. "We believe that we can boost Japanese chip materials makers' global competitiveness by spurring industry consolidation," he added. In the chemicals industry, for example, Japan has "too many players making similar products that were once competitive but are now commoditised," Ikeuchi said. JIC, overseen by the powerful trade ministry, was set up in 2018 to invest in Japanese companies to boost the nation's competitiveness.

June 24 (Reuters) - State-backed Japan Investment Corp is in talks to buy the country's top chipmaker, JSR Corp (4185.T), for about 1 trillion yen ($6.96 billion), the Nikkei reported on Saturday. If the deal goes through, JSR would delist from the Tokyo Stock Exchange as soon as 2024, according to Nikkei. To purchase JSR, JIC intends to establish a new company with 500 billion yen in capital, while Mizuho Bank will provide another 400 billion yen in finance. The fund plans to raise 100 billion yen via preferred shares and subordinated loans underwritten by various banks, according to Nikkei. The deal would grant JSR, with its significant 30% share of the global photoresist market, greater freedom for expansion, without being constrained by worries about stock market performance, Nikkei said.

Other investors who have held Toshiba longer may not be so lucky: the offer price represents a 15% discount from a December 2014 high. Some were introduced to JIP by Toshiba's management, some of the people said, declining to be identified because the information is not public. Toshiba's management, including CEO Taro Shimada, will stay on, while the government keeps Toshiba's sensitive defence and nuclear technologies in Japanese hands. Toshiba felt stable shareholders were desirable to end the tumult, unlike current shareholders "with many differing views", it said. TOKYO, Nov 15 (Reuters) - Digital payments processor Opn, a rare Japanese unicorn, or startup worth more than $1 billion, said on Tuesday it had acquired MerchantE from U.S. investment firm Integrum Holdings, making inroads into the U.S. online payment sector. The deal comes as Japanese Prime Minister Fumio Kishida's government strives to accelerate investments in startups and digital transformation to spur economic growth. "Startups have been getting a tailwind since the start of Prime Minister Kishida's administration," Opn Chief Executive Jun Hasegawa told Reuters. "Besides financial institutions that participated in the financing (for the deal), Japan Bank for International Cooperation and governmental funds such as Japan Investment Corp gave us strong support this time around," he said. Opn, pronounced "open", has been offering services mainly in Southeast Asian countries such as Singapore and Thailand.
TOKYO, Nov 11 (Reuters) - Toshiba Corp (6502.T) on Friday cut its full-year operating profit outlook after a 75% slump in second-quarter profit - dismal results that heighten the uncertainty surrounding its prospects for a buyout deal. It cut its profit forecast for the year ending in March by roughly a quarter to 125 billion yen ($885 million). Kioxia Holdings Corp, a memory chip maker some 40% owned by Toshiba, has also said it would cut production by about 30% from in October. For the July-September quarter, Toshiba posted an operating profit of 7.5 billion yen ($53.2 million). That was far short of a Refinitiv consensus estimate of 36.9 billion yen from four analysts.
Differences over JIP's plan to retain Toshiba CEO Taro Shimada and his team were a source of friction between the two bidders, according to two sources familiar with the talks. Despite being selected as preferred bidder, JIP has struggled to secure enough equity commitments from potential partners, sources have said. It now looks set to miss a Monday deadline to deliver a firm proposal that includes letters of commitment from banks, sources have said. In late October, JIC expanded the size of its buyout fund to 900 billion yen ($6.11 billion) from 200 billion yen.
